Delt Shared Services Ltd – Board of Directors Meeting

2 March 2020

Directors in attendance: Lorna Collingwood-Burke (Non-Executive Director via phone), Nick Franklin (Staff Nominated Non-Executive Director), Mark Greaves (Independent Non-Executive Director, Chair), Paul James (Executive Director), Giles Letheren (Executive Director), Mark Lewis (Independent Non-Executive Director) and Andrew Millward (Non-Executive Director)

Apology for absence: Giles Perritt (Non-Executive Director)

Attendees:  Helen Prendergast (Secretariat), Ben Thorne (Bishop Fleming) and Jane White (Head of Workforce and Brand)

The Delt Board of Directors met on 2 March 2020 and discussed the following key items of business –

● Audit Plan for the Year Ended 31 March 2020: the Company’s external auditors provided an overview of the approach to the audit plan which the Board noted;

● Finance: the Board discussed and noted the latest financial position of the Company and the key risks which could impact the budget in-year;

● Performance Management: the Board reviewed the latest performance information for the Company against its Service Level Agreements (SLAs), in particular the contractual SLAs that had been missed, and progress against the datacentre action plan;

● Client Acquisition and Business Development: the Board noted and discussed the update on the business development;

● Quarterly Risk Register: the Board reviewed the quarterly risk registered and agreed that the Coronavirus should be included on the register;

● Business Plan 2020/2027: the Board reviewed the Business Plan which was due to be approved by the Shareholders on 25 March 2020;

● Budget 2020/21: the Board noted the 2020/21 budget;

● Board Effectiveness Review: this item was deferred until the April 2020 meeting, in order to allow the new Non-Executive Director, Andrew Millward, to complete the questionnaire;

● Pay Proposal: the Board considered the Pay Proposal for 2020/21 and that the proposal had been well presented and had taken into account the Company’s current financial position;

● Communication Strategy: the Board reviewed the strategy and requested further work be undertaken;

● The next Board meeting will be held on 30 March 2020.
